Terms of Service
Effective 29 September 2026 · support@vectelos.com
These Terms of Service (“Terms”) form an agreement between Amplified Engineering Pty Ltd (ABN 44 127 163 035, ACN 127 163 035), an Australian company (“Vectelos”, “we”, “us”), and the person or entity accessing the Service (“Customer”, “you”).
By creating an account, clicking to accept, or using the Service, you agree to these Terms. If you are accepting on behalf of an entity, you represent that you are authorised to bind it, and “you” means that entity. If you do not agree, do not use the Service.

1. Definitions

2. The Service and licence
Subject to these Terms, we grant you a non-exclusive, non-transferable, non-sublicensable right to access and use the Service during the term, for your internal business purposes, in accordance with your Plan and the Documentation.
We may modify, improve or discontinue features. We will not materially reduce the core functionality of a paid Plan during a period you have paid for without giving you the option to cancel and receive a pro-rata refund for the unused remainder.
Features labelled beta, preview or experimental are provided for evaluation, may be changed or withdrawn at any time, and are excluded from any service commitment.
3. Accounts and security
You must provide accurate registration information and keep it current. You are responsible for all activity under your account and for the confidentiality of credentials and API keys. Notify us promptly at support@vectelos.com if you suspect unauthorised use or a key has been exposed.
The Service is for business use by persons aged 18 or over. It is not directed to consumers for personal or household purposes, and not to children.
4. Plans, fees and payment
4.1 Free tier
The Service is currently offered on a free tier with a monthly allowance of analyses. The free tier is provided as is, with no service-level commitment and no guarantee of availability, throughput or turnaround. We may change allowances, features and limits, and may reduce or withdraw the free tier, on reasonable notice to your account email address. We may suspend or delete accounts inactive for an extended period, after notice.
4.2 Paid Plans
Paid Plans are not generally available at the effective date of these Terms. Joining a wait list creates no contract and no obligation on either party, and prices shown are indicative until invoiced. When you subscribe to a paid Plan:
- fees, billing period and included allowance are those presented at the time of your Order, which we will confirm in writing;
- fees are payable in advance and are stated exclusive of GST, VAT, sales and withholding taxes, which you are responsible for except for taxes on our income;
- except where the law requires otherwise or we have failed to supply the Service, fees are non-refundable for a period already begun;
- unused allowance does not carry over unless the Plan states otherwise;
- we may change prices for a subsequent period on at least 30 days’ notice; you may cancel before the change takes effect;
- subscriptions renew automatically for successive periods unless cancelled before the end of the current period;
- we may suspend the Service for non-payment after notice and a reasonable opportunity to cure.
4.3 Vectelos Duty checks and packs
The Vectelos Duty MCP server at mcp.vectelos.com is priced per Check, not by Plan.
Sections 4.1 and 4.2 do not apply to it.
- Free Checks. Each verified email address receives 100 free Checks, once. They do not expire and cannot be exchanged for money.
- What a Check buys. One tariff line computed. A line the Service refuses to price, with a refusal code saying what to supply, costs a Check, because the refusal is a correct answer. A request rejected before computing, for example a malformed code, costs nothing. The same request repeated within 24 hours returns the same answer without charge. If a computation fails on our side, the Checks it used are returned to your balance automatically.
- Buying. Packs are sold only on the account page, in your browser, by card, through Stripe. An AI agent or client connected to the Service cannot buy Checks. A billing address is required. Prices are in US dollars and are shown at checkout before you pay. The contract for a Pack is formed when Stripe confirms your payment, and the Checks are added to your balance at that point.
- Order of use. Free Checks are used first, then purchased Checks, oldest Pack first.
- Expiry. Purchased Checks expire 12 months after the purchase date. Expired Checks are not refunded.
- Refunds. If no Checks from a Pack have been used, you may ask for a full refund within 30 days of purchase by emailing support@vectelos.com from the address you signed in with. Otherwise a Pack is refunded only where the law requires it or we have failed to supply the Service. Refunds are made to the original card through Stripe. A refund removes Checks from that Pack in proportion to the amount refunded, rounded in your favour, and only from what the Pack still holds; Checks already used are never taken from your other Packs.
- Disputes. If a payment is disputed with your card issuer, the unused Checks in that Pack are frozen until the dispute is resolved, and restored if it is decided in our favour.
- Price changes. We may change Pack prices at any time. A change never affects a Pack already bought.
- Nature of the result. Every result is an advisory estimate, as described in section 9. Buying Checks does not change that.
5. Customer Data and privacy
As between the parties, you own Customer Data. You grant us a limited, worldwide, royalty-free licence to host, process and transmit Customer Data solely to provide, secure and support the Service.
You represent that you have the rights necessary to provide Customer Data to us and that doing so does not breach any obligation you owe a third party.
We handle personal information as described in our Privacy Policy, which forms part of these Terms. We use third-party subprocessors, including cloud infrastructure and an AI model provider, to operate the Service; Customer Data is transmitted to them for processing. We remain responsible for their performance of the services we engage them to provide.
Where we process personal data on your behalf and data-protection law requires a data processing agreement, that agreement applies in addition to these Terms.
6. Acceptable use
You will not, and will not permit anyone to:
- upload Customer Data you lack the right to process, or that contains malicious code;
- resell, sublicense or redistribute the Service or Output as a competing classification, duty estimation or customs service;
- use the Service or Output to develop or train a competing model or product;
- circumvent rate limits, allowances or access controls, or register accounts to evade them;
- reverse engineer, decompile or attempt to derive source code, except to the extent this restriction is prohibited by law;
- probe, scan or test the vulnerability of the Service without our prior written consent, or breach or circumvent security or authentication measures;
- use the Service unlawfully, or in breach of applicable sanctions or export-control laws, or make it available to any person subject to such measures.
We may investigate suspected breaches and may suspend access where necessary to protect the Service, its data or other customers. Where practical we will notify you and allow you to cure.
7. Intellectual property
Yours. You retain all right, title and interest in Customer Data and in Output generated from it. Nothing in these Terms transfers ownership of Customer Data to us.
Ours. We retain all right, title and interest in the Service, including its software, models, prompts, interfaces, Documentation, and our compiled tariff and trade-remedy reference data. No rights are granted except as expressly stated in section 2.
Feedback. If you give us feedback or report a classification error, we may use it to improve the Service without restriction or obligation, provided we do so without identifying you and without acquiring rights in your underlying Customer Data.
Publicity. We will not use your name or logo publicly without your prior written consent.
8. Confidentiality
Each party may receive non-public information of the other that is marked confidential or would reasonably be understood to be confidential (“Confidential Information”). Customer Data is your Confidential Information; the non-public elements of the Service are ours.
The receiving party will use Confidential Information only to perform under these Terms, protect it with at least reasonable care, and disclose it only to personnel and contractors who need it and are bound by comparable obligations. These duties do not apply to information that is public through no fault of the recipient, was already known to it, or is independently developed. Disclosure compelled by law is permitted with prompt notice where lawful.
9. Nature of the output
This section is fundamental to the basis on which the Service is provided.
- We are not a licensed U.S. customs broker and do not provide customs brokerage services. No broker–client, attorney–client or other professional advisory relationship arises from your use of the Service.
- Output is an estimate, not a determination. Classification requires judgment about goods we never inspect. The Service proposes a classification from document text; it does not examine merchandise, review contracts, or apply binding rulings.
- You are responsible for your declarations. As importer of record you remain solely responsible for the accuracy of each entry, for duties, fees and penalties, and for engaging a licensed customs broker or qualified adviser before filing.
- No CBP form is produced. The PDF is a summary for your review. It is not CBP Form 7501 and cannot be filed.
- Matters the Service does not determine are surfaced as caveats rather than resolved, including Section 301 product exclusions, the Section 232 metal-weight test, and the conditional exemptions in U.S. note 52. Anti-dumping and countervailing duty is an estimate only: those rates are set per case and per exporter in Commerce Department orders and are revised on administrative review.
- Rates change. Output reflects tariff data as at the date produced. Trade remedies change frequently and sometimes retroactively. Output is not a forecast of the rate applicable when goods arrive.
Subscribing to a paid Plan does not alter this section. Paying for the Service does not make Output a customs determination.
10. Customer records
Uploaded documents are processed in memory and discarded. A completed analysis is cleared when you download the PDF, when you begin a new analysis, and in all cases within the period stated in the Privacy Policy. We cannot recover Output once cleared. You are responsible for downloading and retaining anything you require for compliance, audit or dispute.
11. Warranties and disclaimers
Each party warrants that it has the authority to enter into these Terms. We warrant that we will provide the Service with reasonable care and skill.
Subject to the above and to the maximum extent permitted by law, the Service and Output are provided as is and as available. We disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that Output is accurate, complete or current, or that the Service will be uninterrupted, secure or error-free.
12. Limitation of liability
Subject to section 11 and to the maximum extent permitted by law:
- neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or anticipated savings, however caused;
- we are not liable for underpaid or overpaid duty, fees, penalties, interest, seizure, detention, demurrage, storage, delay, or the cost of amended entries or protests arising from use of, or reliance on, the Service or Output;
- our total aggregate liability arising out of or in connection with these Terms is limited to the greater of (a) the fees paid by you to us in the 12 months preceding the event giving rise to the claim, and (b) AUD $100.
These limits do not apply to your payment obligations, to either party’s liability for death or personal injury caused by negligence, or to fraud or wilful misconduct.
The parties acknowledge this allocation of risk is a reasonable and fundamental basis of the bargain, particularly where the Service is provided at no charge.
13. Indemnification
By you. You will defend and indemnify us against third-party claims and resulting losses and reasonable costs arising from your breach of section 6, from Customer Data you had no right to provide, or from your customs declarations — except to the extent caused by our breach or negligence.
By us. We will defend and indemnify you against third-party claims that the Service, used in accordance with these Terms, infringes that party’s intellectual property rights, and may at our option modify the Service, obtain a licence, or terminate the affected Service and refund prepaid unused fees. This does not apply to claims arising from Customer Data or from use in breach of these Terms.
Each indemnity is conditional on prompt notice, sole control of the defence by the indemnifying party, and reasonable cooperation.
14. Term, suspension and termination
These Terms begin when you first accept them and continue until terminated. You may terminate at any time by closing your account; for a paid Plan, termination takes effect at the end of the current period.
Either party may terminate for material breach not cured within 30 days of written notice. We may suspend or terminate immediately where required by law, or where continued access presents a security or legal risk.
If we discontinue the Service generally, we will give reasonable notice and refund prepaid fees for the unused remainder of any period.
If you close your account, or we terminate it for breach of section 6, unused purchased Checks are forfeited, except where the law or section 4.3 entitles you to a refund. If we discontinue the MCP server, we will refund unused, unexpired purchased Checks pro rata.
On termination your right to use the Service ends and remaining Customer Data is deleted in the ordinary course. Sections 5, 7, 8, 9, 10, 11, 12, 13, 16 and 17 survive.
15. Changes to these Terms
We may update these Terms. We will revise the effective date and, for a material change, give notice by email to your account address or in the Service before it takes effect. Continued use after the effective date constitutes acceptance. If you do not accept a material change, your remedy is to stop using the Service and, for a paid Plan, cancel before the change takes effect.
16. Governing law and disputes
These Terms are governed by the laws of Western Australia, excluding its conflict-of-laws rules and the United Nations Convention on Contracts for the International Sale of Goods. The parties submit to the non-exclusive jurisdiction of the courts of Western Australia.
Before commencing proceedings, a party will give written notice of the dispute and the parties will attempt in good faith to resolve it, escalating to senior representatives, for at least 30 days. This does not prevent either party seeking urgent interlocutory relief.
If you access the Service from another jurisdiction, you are responsible for compliance with local law.
17. General
- Entire agreement. These Terms, the Privacy Policy and any Order form the entire agreement and supersede prior discussions. Terms in a purchase order or vendor portal do not apply.
- Order of precedence. A signed Order prevails over these Terms to the extent of any inconsistency.
- Assignment. Neither party may assign without the other’s consent, not unreasonably withheld, except to a successor in a merger or sale of substantially all assets.
- Subcontracting. We may use subcontractors and subprocessors and remain responsible for their performance.
- Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including outages of third-party infrastructure, provided it takes reasonable steps to mitigate. This does not excuse payment obligations.
- Severability. If a provision is unenforceable it is modified to the minimum extent necessary, or severed, and the remainder continues.
- Waiver. Failure to enforce is not a waiver.
- Notices. To you: the email on your account, or in-Service notice. To us: support@vectelos.com. Notice is effective on the next business day after sending.
- No third-party beneficiaries. These Terms confer no rights on anyone other than the parties.
- Relationship. The parties are independent contractors. Nothing creates a partnership, agency or employment relationship.
- Survival. Provisions which by their nature should survive, do.
